Terms of Use

1. General provisions

1.1. These Terms of Use (the Terms) govern the use of the website soliton.studio (the Website), whose rights holder is Индивидуальный предприниматель Дербенев Сергей Вячеславович, TIN (INN) 525813755846, OGRNIP 326527500120740 (the Rights Holder).

1.2. The Terms constitute a public offer under Article 437 of the Civil Code of the Russian Federation with respect to the free right to use the Website. Beginning to use the Website constitutes full acceptance of the Terms under Article 438 of that Code.

1.3. A user who does not agree with the Terms must stop using the Website.

1.4. The Rights Holder may amend the Terms unilaterally. A new version takes effect once published at https://soliton.studio/en/legal/terms.

2. Definitions

2.1. User — any person accessing the Website.

2.2. Content — everything published on the Website: text, images, design elements, graphics, program code, project descriptions, video and audio material, and their selection and arrangement.

2.3. Enquiry — a message sent by a User through a form on the Website.

3. Purpose of the Website

3.1. The Website is an informational resource presenting the Rights Holder's services in design, software development and digital marketing, together with examples of completed work.

3.2. Use of the Website is free of charge and requires no registration.

3.3. The Website is not an online shop; it does not sell goods and does not accept payments.

4. Prices and the status of published information

4.1. The final price, scope of work, timeline, payment schedule and tax treatment are agreed individually and recorded in a written contract.

4.2. Timeframes shown on the Website reflect typical durations for comparable work and are not a commitment for any specific project until agreed by the parties.

4.3. Characteristics of completed projects are stated as at the date the relevant work was finished. The Rights Holder is not responsible for changes made to those projects afterwards by their owners.

5. Submitting an enquiry

5.1. By submitting an Enquiry the User confirms the accuracy of the data provided and gives consent to the processing of personal data on the terms of the Consent and the Personal Data Processing Policy.

5.2. Submitting an Enquiry does not conclude a contract and does not oblige the Rights Holder to provide services. An Enquiry is treated as an invitation to negotiate.

5.3. The Rights Holder may decline to review an Enquiry without giving reasons, in particular where it contains inaccurate data, signs of automated distribution, or offensive, unlawful or misleading content.

5.4. The Rights Holder aims to reply within one business day. This period is indicative.

6. Intellectual property

6.1. Exclusive rights to the Website as a compilation, to its design, program code and original text belong to the Rights Holder and are protected by Part IV of the Civil Code of the Russian Federation.

6.2. The User may view the Content and reproduce it for personal, non-commercial use provided all authorship notices are preserved.

6.3. Without the Rights Holder's prior written permission it is prohibited to copy or adapt the Content for use on other resources, distribute it, display it publicly, incorporate it into other works, or harvest the Website's material by automated means.

6.4. Trade marks, trade names, logos and other designations of third parties mentioned in the case studies section belong to their respective holders and are used for informational purposes only — to identify work performed by the Rights Holder. Such mention implies no sponsorship, endorsement or partnership.

6.5. A User who believes material on the Website infringes their rights should write to info@soliton.studio, providing the information listed in Article 15.7 of Federal Law No. 149-FZ of 27 July 2006. The Rights Holder reviews such notices within twenty-four hours.

7. User obligations

7.1. The User shall not act to impair the operation of the Website, circumvent technical restrictions, gain unauthorised access to any part of it or place excessive load on its infrastructure.

7.2. The User shall not submit through the Website's forms any information whose distribution is restricted or prohibited by the law of the Russian Federation.

8. Limitation of liability

8.1. The Website is provided "as is". The Rights Holder does not warrant uninterrupted or error-free operation and may change, suspend or discontinue the Website at any time.

8.2. The Rights Holder is not responsible for the content of external resources linked from the Website or for the consequences of using them.

8.3. The Rights Holder is not liable for losses arising from a User's independent application of informational material published on the Website.

8.4. These limitations apply to the extent permitted by the law of the Russian Federation and do not affect consumer rights under the Russian Federation Law "On Protection of Consumer Rights".

9. Personal data and cookies

9.1. Personal data is processed in accordance with the Personal Data Processing Policy.

9.2. The use of cookies is described in the Cookie Policy.

10. Governing law and disputes

10.1. The Terms are governed by the law of the Russian Federation.

10.2. Disputes are settled through negotiation. A written claim should be sent to the address in section 11 and is reviewed within thirty calendar days, unless Russian law — including the Law on the Protection of Consumer Rights — sets a shorter period for the particular claim.

10.3. If the dispute is not resolved, it is referred to the court having jurisdiction under the law of the Russian Federation.
